AsianCool.com Terms

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the AsianCool.com Services. By using the AsianCool.com Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the AsianCool.com Website, or otherwise use the AsianCool.com Services without being registered) or you are a "Member" (which means that you have registered with AsianCool.com). The term "User" refers to a Visitor or a Member.

AsianCool.com may modify this Agreement from time to time and such modification shall be effective upon posting the AsianCool.com Website. Your continued use of the AsianCool.com Services after AsianCool.com posts a revised Agreement signifies your acceptance of the revised Agreement.

Eligibility

Use of the AsianCool.com and registration to be a Member for the AsianCool.com Services (“Membership”) is void where prohibited. By using the AsianCool.com Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 13 years of age or older; and (d) your use of the AsianCool.com Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that the age is not appropriate for using the service, or if we believe that you were not of the actual age as provided in your profile.

Disclaimer of Warranties

YOU AGREE THAT USE OF THE ASIANCOOL.COM WEBSITE AND THE SERVICES IS ENTIRELY AT YOUR OWN RISK. THE ASIANCOOL.COM WEBSITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, ASIANCOOL.COM DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE ASIANCOOL.COM WEBSITE AND THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, ASIANCOOL.COM DISCLAIMS ANY WARRANTIES FOR OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE ASIANCOOL.COM WEBSITE OR THE SERVICES ACCESSED THROUGH ANY LINKS ON THE ASIANCOOL.COM WEBSITE. TO THE FULLEST EXTENT PERMITTED BY LAW, ASIANCOOL.COM DISCLAIMS ANY WARRANTIES FOR VIRUSES OR OTHER

Indemnification

You hereby agree to indemnify and hold ASIANCOOL.COM, its subsidiaries, affiliates, successors, assigns, directors, officers, agents, employees, service providers, and suppliers harmless from any disputes or any damages. You agree to hold ASIANCOOL.COM harmless from any claims and expenses, including attorney's fees and court costs, related to the use of AsianCool.com website and all information obtained from it. Any events and incidents based on any content from the AsianCool.com website should be used at your own risk.

Member Conduct

Use of the Services by you, as Member, is subject to all applicable local, state, national and international laws and regulations. AsianCool.com reserves the right, but does not assume any obligation, to monitor the Services to enforce this Agreement. Nor does AsianCool.com guarantee that any monitoring it does perform will be to the Member's satisfaction. Upon learning of any violation of this Agreement, AsianCool.com, at its sole discretion, may terminate your access to and use of the Services, require you to remedy such violation, and/or take any other actions that AsianCool.com deems appropriate to enforce its rights and pursue all available remedies. Without limitation, AsianCool.com reserves the right to terminate your access to and use of the Services if, in our view, your conduct fails to meet any of the following guidelines:

Members shall not engage in any activity that constitutes harassment, including, but not limited to, excessive repetition when listing a person as a referral.

Members shall not list the email addresses of people unknown to them.

Members shall not list as referrals any email addresses that are fake, fictitious, or made up.

Members shall not list as referrals any email addresses which are owned by or belong to that member.

Members shall not attempt to interfere with any other person's use of the Services.

Members shall not hold themselves out as sponsored by, endorsed by, or affiliated with the AsianCool.com website.

Members shall not use any portion of the AsianCool.com website or the Services for uploading, posting, emailing, transmitting or otherwise making available junk mail, commercial advertisements, or any other form of commercial solicitation.

Members shall not use any portion of the AsianCool.com website or the Services for uploading, posting, emailing, transmitting or otherwise making available content, including user names and friend list names, that is harmful, threatening, abusive, vulgar, obscene, profane, defamatory, libelous, hateful, or racially, ethnically or otherwise objectionable.

Members shall not use any portion of the AsianCool.com website or the Services for uploading, posting, emailing, transmitting or otherwise making available messages that are harmful to minors in any way.

Members shall not upload photos, graphics or other content that contain or promote illegal substances or activities, including, but not limited to, underage drinking or smoking, substance abuse, weapon use, or gang affiliation.

Members shall not post content that displays pornographic or sexually explicit material of any kind.

Members shall not provide material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18.

Members shall not provide instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses.

Members shall not attempt to gain unauthorized access to AsianCool.com's database or other computer systems.

Members shall not attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by AsianCool.com in connection with the AsianCool.com website or the Services.

Members shall not engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Services or the AsianCool.com website.

Members shall not use any portion of the AsianCool.com website or the Services for any unlawful purpose.

All judgments concerning the applicability of these guidelines shall be at the sole and exclusive discretion of AsianCool.com. AsianCool.com will remove the offending material and alert the member against repeating the offense. If another direct violation of our Terms of Agreement is committed, a member's account will be fully terminated. A member is not necessarily offered a warning. An account may be terminated at any time, without notice, depending on the severity of the offense.

Rights in Content Posted By You

We claim no intellectual property rights over the material you provide to the AsianCool.com. Your profile and materials uploaded remain yours. You can remove your profile at any time by deleting your account. This will also remove any text and images you have stored in the system.
By publishing, displaying or uploading any text, links, photos, video, messages or other data or information on or to the AsianCool.com website (including on or to your profile), you automatically grant, and you represent and warrant that you have the right to grant, to AsianCool.com an irrevocable, perpetual, nonexclusive, fully-paid and worldwide license to use, copy, perform, display and distribute such Content and to prepare derivative works of, or incorporate into other works, such Content and to grant and authorize sublicenses of the foregoing. The license you grant to AsianCool.com is non-exclusive (meaning you are free to license your Content to anyone else in addition to AsianCool.com), fully-paid and royalty-free (meaning that AsianCool.com is not required to pay you for the use on the AsianCool.com Services of the Content that you post), sublicensable (so that AsianCool.com is able to use its affiliates, subcontractors and other partners such as Internet content delivery networks and wireless carriers to provide the AsianCool.com Services), and worldwide (because the Internet and the AsianCool.com Services are global in reach).
AsianCool.com is NOT responsible for managing, controlling, protecting, explaining, enhancing, updating, retrieving any information that you posted to the AsianCool.com website.

Protecting Copyrights and Other Intellectual Property

AsianCool.com respects the intellectual property of others, and requires that our users do the same. You may not upload, embed, post, email, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other proprietary rights of any person or entity. AsianCool.com has the right to terminate the Membership of infringers.
You may not post, modify, distribute, or reproduce in any way any copyright material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights.

Third Party Applications & Sites

AsianCool.com makes no warranty that any applications provider is in full compliance with these Policies and Guidelines at all times or that AsianCool.com assumes the responsibility to monitor for such full compliance from each developer. The third party developer of any application you install is solely responsible for that application. Third party applications may have their own terms and conditions, which you should review prior to install any application or agreeing to share any of your information with the application provider. YOUR USE OF THIRD PARTY APPLICATIONS IS AT YOUR OWN RISK.
The Service may include links to third party websites, including links provided as automated search results; links to certain related products or services; and sites operated by professional content creators and media companies in connection with AsianCool.com. Some of these sites may contain materials that are objectionable, unlawful, or inaccurate. These links do not mean that we endorse these third party sites or services, and AsianCool.com may, in its sole discretion, remove such links. We are not responsible or liable for any content, the products or services, or other materials on these third party sites.

Children under the age of 13 are not eligible to use AsianCool.com and must not attempt to register with AsianCool.com and/or submit any personal information to us. AsianCool.com does not knowingly collect personal information from any person who is under the age of 13 or allow them to register. If it comes to our attention that we have collected personal data from a person under the age of 13, we will delete this information as quickly as possible.

We recommend that children between the ages of 13 and 17 should not send any information about themselves to anyone over the Internet without asking their parents or legal guardians for permission beforehand.
